Terms and Conditions

Export Transactions - Shuvendu Saha

Products: Potato, Onion, Non-Basmati Rice

Market: Export

1. Payment Terms

  • Advance Payment: 50% of the total invoice value must be paid as an advance before production, procurement, and packaging of goods.
  • Balance Payment: The remaining 50% of the total invoice value must be paid at the time of loading and prior to shipment.

2. Order Confirmation

  • All export orders must be confirmed in writing by both parties (Shuvendu Saha and the Buyer).
  • An official Letter of Intent (LOI) or Purchase Order (PO) must be issued and signed.

3. Quality and Inspection

  • The goods will be prepared and packed in accordance with international quality standards as per the specifications agreed upon by both parties.
  • The Buyer has the right to appoint an inspection agency (such as SGS) at their cost prior to loading.

4. Delivery Terms

  • Delivery will be made as per the agreed Incoterms (FOB/CIF/CFR) stated in the Purchase Order.
  • The estimated shipment and delivery timelines will be communicated upon confirmation of the order.

5. Documentation

  • All necessary export documents (Invoice, Packing List, Certificate of Origin, Phytosanitary Certificate, Fumigation Certificate, etc.) will be issued upon dispatch.
  • The Buyer must provide necessary import documents and instructions in a timely manner.

6. Liability and Risk

  • The risk and responsibility for the goods will be transferred from the Exporter to the Importer as per the Incoterm agreed.
  • The Exporter is not liable for delays caused by events beyond its control, such as customs delays, force majeure, strikes, or transportation constraints.

7. Cancellation and Amendment

  • Cancellation or changes to the confirmed order must be communicated in writing.
  • The Exporter reserves the right to charge a cancellation fee if applicable.

8. Dispute Resolution

  • In the event of any dispute arising from this agreement, both parties will seek an amicable solution first.
  • If a resolution cannot be reached, the matter will be settled under the jurisdiction of the Exporter’s country courts.

9. Governing Law

This agreement and its enforcement shall be governed by the laws of India.
